• Acted for Exponent regarding the merger notifications to the CCPC of its acquisition of Chanelle Pharma and its acquisition of Ethos Engineering.
  
• Acting for MAN SE and MAN Truck & Bus Deutschland GmbH in relation to a large follow-on damages action in the Irish Court as a result of the European Commission’s decision to find that there had been a cartel among a number of truck companies in breach of Article 101(1) of the Treaty on the Functioning of the European Union.
  
• Acted for Dalata Hotel group in two high-profile transactions: a €1.4bn bid for Dalata plc, and obtaining Irish merger control approval for Dalata’s €83m acquisition of the 229-bedroom Radisson Blu Hotel at Dublin Airport.
  

Highlight-Mandate

• Advised PTI, a global wireless communications infrastructure provider and portfolio company of Blackstone Inc., on the acquisition of Cellnex Telecom’s towers business in Ireland for c.€971m.
  
• Advised Ryanair on a High Court challenge of a dawn raid at Ryanair’s headquarters in Dublin by the CCPC on behalf of the Italian competition authority, and advising Ryanair on defending competition law counterclaims by Skyscanner, Vola.ro, Ypsilon.net, Flightbox, Booking.com and On the Beach in the context of High Court proceedings relating to alleged ‘screen scraping’ of Ryanair’s website and Ryanair products and services for sale other than via Ryanair’s website.
  
• Advised Flutter Entertainment plc, on its acquisition of Snaitech for c.€2.3bn. The transaction was referred by the European Commission to the Italian competition authority, which approved the transaction unconditionally in phase 1.

• Advising a global technology company on an ongoing basis on the application of the Digital Markets Act to its business.
  
• Advised Irish Breeze on the sale of its WaterWipes business to private equity firm 3i for €145m.
  
• Advised a significant player in the data centre construction industry in the context of an unannounced dawn raid conducted by the European Commission, which was assisted by the Irish Competition and Consumer Protection Commission.

• Advised Coimisiún na Meán, the body responsible for regulating broadcasters and online media, on its design and implementation of a new regulatory regime for online safety.
  
• Advising a software provider under investigation by the CCPC for allegations of competition law infringements.
  
• Advised KWD Group on its high-profile acquisition of Bord na Móna’s recycling business, achieving clearance of the acquisition in Phase 1 with remedies.

• Advising Arvato SE in relation to its acquisition of Airtraks Limited.
  
• Advised the joint liquidators of HHGL (Ireland) Ltd (In Liquidation) t/a Homebase on the CCPC merger notification related to the sale of five Homebase stores to the Range (Ireland) Ltd t/a The Range and the CCPC merger notification related to the sale of a further three Homebase stores to B&Q Ireland Ltd.
  
• Advised Haribo on its Dawn Raid Policy for regulatory inspections (including for example: the CCPC, the Health and Safety Authority, the Agrifood Regulator or An Garda Síochana).

• Acting for Millstreet Equestrian Services in proceedings before the Irish High Court against Show Jumping Ireland alleging infringement of both EU and Irish competition law.
  
• Acted for the Dussmann Group on its acquisition of the entire issued share capital of Lynskey Engineering Holdings Limited.
  
• Acting for Deposit Return Scheme CLG, providing competition, state aid and free movement advice on various aspects of its business.

• Advising Speed Fibre Group on its acquisition of BT’s wholesale and enterprise business unit in Ireland.

• Advising Dawn Meats on its transformational acquisition of the New Zealand based Alliance Group co-operative, including performing a detailed multi-jurisdictional analysis to identify and secure merger control approval in relevant jurisdictions to permit the transaction to proceed.
  
• Providing ongoing state aid advice to the Sustainable Energy Authority of Ireland (SEAI) to ensure that the wide range of projects it funds in the energy sector remain within the scope of state aid rules.
  
• Advising the Health Service Executive, the largest procurer of goods and services in the Irish State, on an ongoing basis in relation to a wide range of competition law related matters, including in respect of state aid, procurement related matters including challenges and general regulatory issues.

• Advising the HSE on the €50m EU procurement of the National Electronic Prescription Service by way of a competitive dialogue under Directive 2014/24/EU.
  
• Supported the EU Fundamental Rights Agency on a Fundamental Rights in Corporate Sustainability Due Diligence project, which is examining the foundational aspects of human rights due diligence and how it is currently implemented at the national level, outlining available assessment, oversight, remedy and redress mechanisms, and enforcement and civil liability regimes.
  
• Represented the vendor in a successful joint Inward Investment Screening Notification to the Department of Enterprise Trade and Employment in respect of the acquisition of a controlling interest in the target, ART Generation.

• Advising Arkil Ireland Limited on acquisitions strategy, including in respect of a notification to the CCPC, and liaising with the CCPC ensuring expedient merger review process.
  
• Advising Fusion Connect on the launch of its telecoms services across Europe and coordinating a multi-jurisdictional licensing process with local counsel in 16 EU jurisdictions.
  
• Adviser to The Maxol Group, providing a full suite of EU, competition law and compliance advice.

• Advised Keywords Studios on multi-jurisdictional merger control and foreign direct investment aspects of its £2.2bn sale to EQT private equity group including multiple merger control filings in Europe and the US.
  
• Advised Fiserv on two major European transactions, including merger control and FDI filings across five jurisdictions, in its €200m+ acquisition of CCV and its acquisition of sole control of AIB Merchant Services, involving complex regulatory engagement.
  
• Advising UPMC on the competition law and procurement aspects of the €26m development of a new cancer care centre in the southwest of Ireland within an existing joint venture with the Bon Secours private hospital network.
